1. About these Terms
These Terms of Service (“Terms”) govern access to and use of ALTE’s websites, software, AI-enabled products, dashboards, APIs, trials, subscriptions and related services (collectively, the “Services”). They form a legally binding agreement between ALTE L.L.C-FZ (“ALTE”, “we”, “us”, “our”) and the business or organisation accepting these Terms (“Customer”, “you”, “your”).
The Services are offered for business and professional use. By creating an account, starting a trial, subscribing, signing an Order Form or using the Services, you confirm that you are acting for a business or organisation and that you have authority to bind it. If you are purchasing as an individual consumer, do not complete self-service checkout unless ALTE has expressly enabled a consumer offering and provided the applicable consumer disclosures.
2. Definitions
| Term | Meaning |
|---|---|
| Account | the user account used to access the Services. |
| Authorised User | an employee, contractor or other person authorised by Customer to use the Services. |
| Customer Data | data, content, prompts, files, records, contacts, messages, knowledge-base materials and other information submitted to, connected to, generated within or processed through the Services on Customer’s behalf. |
| Order | a self-service subscription, Order Form, statement of work, proposal or other ordering document accepted by both parties. |
| Subscription Term | the recurring billing period stated at checkout or in the applicable Order. |
| Trial | a limited evaluation period subject to the applicable trial limits. |
3. Accounts and authorised users
- Customer must provide accurate account and billing information and keep it up to date.
- Customer is responsible for all activity under its Account and for ensuring that Authorised Users comply with these Terms.
- Login credentials must not be shared outside authorised use. Customer must notify ALTE promptly of suspected unauthorised access.
- ALTE may require email verification, company verification, anti-abuse checks or additional information before enabling a trial, high-volume feature or integration.
4. Services, plans and changes
The features, usage limits, users, workspaces, records, sends, projects, integrations and support level included in a plan are described on the relevant pricing or product page and at checkout. ALTE may improve or modify the Services from time to time. We will not materially reduce paid core functionality during a current Subscription Term without reasonable notice, except where required for security, law, third-party platform changes or abuse prevention.
5. Trials
Unless otherwise stated, eligible self-service products include a 7-calendar-day Trial. The applicable limits are shown before the Trial starts. A payment method may be collected before the Trial begins. No subscription fee is charged during the Trial. The exact first billing date and amount must be displayed before confirmation.
If Customer does not cancel before the Trial ends, the selected subscription automatically begins and the payment method is charged. AI Lead Qualification is different: its 7-day Trial is a sandbox only. The $2,000 implementation fee is not charged automatically. Production deployment requires separate Customer approval.
6. Fees, billing and automatic renewal
- Subscription fees are billed in advance for each monthly or other recurring term stated at checkout.
- Subscriptions automatically renew for successive terms unless cancelled before the renewal date.
- Customer authorises ALTE and its payment processor to charge the payment method on file for subscription fees and any separately disclosed usage charges or other amounts expressly accepted before charging.
- ALTE will provide a receipt or invoice describing the transaction.
- The price displayed at checkout is the final subscription amount charged by ALTE for the applicable billing period, unless a separate usage charge or other fee is expressly disclosed and accepted before purchase.
- Customer is responsible for any taxes, duties or withholdings legally payable by Customer in its own jurisdiction, excluding taxes based on ALTE's net income.
- Prices are charged in US dollars. Any currency-conversion, cross-border or foreign-transaction charge applied by Customer's bank or card issuer is not part of ALTE's price and is not refundable by ALTE.
- If ALTE’s tax-registration status changes in a way that affects checkout pricing, ALTE will update the published pricing and billing terms before applying the change to new charges.
7. Upgrades, downgrades, usage limits and overages
An upgrade may take effect immediately and may be prorated. A downgrade normally takes effect at the next renewal date. Usage limits are enforced according to the selected plan. ALTE will not charge an undisclosed overage. Where overages are supported, the applicable rate must be shown or agreed before the usage is incurred.
8. Cancellation and failed payments
Customer may cancel a self-service subscription through the billing portal or another method clearly made available by ALTE. Cancellation takes effect at the end of the then-current paid term unless mandatory law requires otherwise. Cancellation during a Trial prevents the first subscription charge.
If a payment fails, ALTE may retry payment and notify Customer. The applicable grace period, retry process and consequences of non-payment are governed by the current Subscription, Trial & Cancellation Policy. During or after that process, ALTE may restrict high-cost operations while keeping reasonable access to billing and existing data.
9. Customer Data and permissions
Customer retains ownership of Customer Data. Customer grants ALTE a limited right to host, copy, transmit, transform and otherwise process Customer Data solely as necessary to provide, secure, support and improve the contracted Services, subject to the Privacy Policy and, where ALTE acts as processor, the Data Processing Addendum.
Customer represents that it has all rights, notices, consents and lawful bases required to provide Customer Data to ALTE and to instruct ALTE to process it. Customer must not upload data that it is not legally permitted to use.
10. Third-party services and integrations
The Services may connect to third-party platforms, email providers, CRMs, calendars, messaging tools, public data sources, AI model providers and payment processors. Third-party services are governed by their own terms. ALTE is not responsible for outages, policy changes, suspensions or data restrictions imposed by third parties, although ALTE will use reasonable efforts to maintain supported integrations.
11. AI-enabled functionality
AI-generated or AI-assisted output may be incomplete, inaccurate or unsuitable for a particular decision. Customer must apply appropriate human review. The AI & Product Use Terms form part of these Terms and include product-specific rules for sales outreach, SEO, business assistance, healthcare and KYC/compliance workflows.
12. Acceptable use
Customer must comply with the Acceptable Use Policy. In particular, Customer must not use the Services for unlawful spam, deceptive outreach, unauthorised data collection, fraud, malware, impersonation, rights infringement, prohibited high-risk automated decisions or activities that breach applicable sanctions, privacy or marketing laws.
13. Intellectual property
ALTE and its licensors retain all rights in the Services, software, interfaces, models, workflows, templates, documentation, brand and technology, excluding Customer Data. Subject to payment and compliance with these Terms, ALTE grants Customer a limited, non-exclusive, non-transferable right to use the Services during the applicable term for Customer’s internal business purposes.
14. Confidentiality
Each party may receive non-public business, technical or commercial information from the other. The receiving party must protect such information using reasonable care, use it only for the relationship and disclose it only to personnel and service providers who need to know it and are bound by confidentiality obligations. This does not apply to information that is public without breach, already lawfully known, independently developed or lawfully received from a third party.
15. Security and privacy
ALTE will maintain reasonable technical and organisational safeguards appropriate to the nature of the Services and Customer Data. Customer remains responsible for configuring its users, connected systems, permissions, retention and lawful use. The Privacy Policy and Data Processing Addendum describe the data-protection framework in greater detail.
16. Suspension
ALTE may suspend all or part of the Services where reasonably necessary to prevent security harm, unlawful activity, material breach, non-payment, platform abuse or breach of third-party provider rules. Where practicable, ALTE will notify Customer and provide an opportunity to remedy the issue.
17. Termination and data export
Either party may terminate for material breach not cured within a reasonable period after notice, unless immediate termination is justified by law, fraud or serious security risk. When a subscription ends, Customer may lose the right to run new operations. ALTE may provide a limited read-only or export period under the applicable product policy. Customer Data is not deleted on a schedule when a subscription ends; it is deleted when Customer asks for deletion, as described in the Privacy Policy.
18. Service levels and support
Unless a written Order states otherwise, the Services are provided without a formal uptime SLA. ALTE may perform planned maintenance and emergency maintenance. Enterprise support, response targets or SLAs apply only if expressly included in an Order.
19. Warranties and disclaimers
Each party warrants that it has authority to enter into the agreement. ALTE warrants that it will provide the Services with reasonable skill and care. Except to the extent prohibited by mandatory law, the Services are otherwise provided on an “as available” basis. ALTE does not guarantee specific commercial outcomes, email deliverability, reply rates, search rankings, qualified leads, medical outcomes, compliance approvals or uninterrupted availability of third-party services.
20. Limitation of liability
To the maximum extent permitted by applicable law, neither party is liable for indirect, incidental, special, punitive or consequential loss, or for loss of profits, revenue, goodwill or anticipated savings. Subject to any liabilities that cannot lawfully be limited, each party’s aggregate liability arising from the Services will not exceed the fees paid or payable by Customer to ALTE for the affected Services during the 12 months preceding the event giving rise to the claim.
21. Indemnity
Customer will indemnify ALTE against third-party claims arising from Customer Data, Customer’s unlawful or unauthorised use of the Services, or Customer’s breach of the Acceptable Use Policy, except to the extent caused by ALTE’s own breach or wrongdoing.
22. Governing Law and Disputes
These Terms are governed by the federal laws of the United Arab Emirates and the laws of the Emirate of Dubai. The courts of Dubai have non-exclusive jurisdiction over any dispute arising out of or in connection with these Terms. Nothing in this clause prevents ALTE from bringing proceedings in any other jurisdiction where the Customer is established or holds assets.
23. Electronic contracting and notices
The parties agree that contracts, notices, approvals and records may be created and accepted electronically to the extent permitted by applicable law. Operational notices may be sent by email, in-product notice or the billing portal. Legal notices to ALTE must be sent to info@alteglobal.ai and, if required, Meydan Grandstand, 6th floor, Meydan Road, Nad Al Sheba, Dubai, U.A.E.
24. Changes to these Terms
ALTE may update these Terms. Material changes affecting an active paid subscription will be notified reasonably in advance where required. The current version and effective date will be published on the website.
25. Entire agreement and order of precedence
These Terms, the applicable Order, Privacy Policy, Subscription Policy, Refund Policy, Acceptable Use Policy, AI & Product Use Terms and, where applicable, DPA form the agreement. If there is a conflict, a signed Order Form or statement of work prevails over these website Terms for the conflicting subject matter.
